Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ThalosForge platform, APIs, and related services (collectively, the "Services") provided by ThalosForge Inc. ("ThalosForge," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing our APIs, or using any ThalosForge Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
ThalosForge provides enterprise optimization engines, AI platforms, and mission-critical systems, including but not limited to:
- Optimization Suite: QuantumJolt, Spiral Swarm DSS, Kestrel Pro, QuantumEdge, DRD
- MLOps: Saturna drift detection and model calibration
- Control Systems: Command Dosage, MultiAgent SDR, Axiom SDR
- Edge AI: Neuromorphic Edge platform
- Decision Engine: ATA (Autonomous Thinker Accelerator)
- Data Products: AllData Compliance, ReplicatorX ETL
3. Account Registration
To access certain features of the Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your API keys and credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. API Usage and Rate Limits
4.1 API Keys
API keys are issued for your use only and may not be shared, sold, or transferred. You are responsible for all API calls made using your keys.
4.2 Rate Limits and Quotas
Your subscription tier determines your usage limits. Exceeding these limits may result in throttling, additional charges, or suspension of service. Current tier limits are published in our documentation.
4.3 Fair Use
You agree not to abuse the Services through excessive requests, automated scraping, or any activity that degrades service quality for other users.
5. Subscription and Payment
5.1 Pricing
Pricing for our Services is published on our website and may be updated periodically. We will provide 30 days' notice before any price increases take effect for existing subscriptions.
5.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. Usage-based charges (overages) are billed in arrears.
5.3 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in our Service Level Agreement.
6. Acceptable Use
You agree NOT to use the Services to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to our systems
- Reverse engineer, decompile, or disassemble our software
- Resell or redistribute the Services without authorization
- Use the Services for any illegal, harmful, or fraudulent purpose
- Interfere with or disrupt the integrity of the Services
7. Intellectual Property
7.1 Our IP
ThalosForge retains all rights, title, and interest in the Services, including all software, algorithms, documentation, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services.
7.2 Your Data
You retain all rights to data you submit to the Services. You grant ThalosForge a limited license to process your data solely to provide the Services.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law.
9. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA. For enterprise customers, we offer Data Processing Agreements (DPAs) upon request.
10. Service Level Agreement
Our Service Level Agreement (SLA) defines uptime commitments and remedies for Professional and Enterprise tier customers. The SLA is incorporated into these Terms by reference. See our SLA page for details.
11. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THALOSFORGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THALOSFORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THALOSFORGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless ThalosForge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
14. Term and Termination
14.1 Term
These Terms remain in effect until terminated by either party.
14.2 Termination by You
You may terminate your account at any time through your account settings or by contacting support.
14.3 Termination by Us
We may suspend or terminate your access to the Services immediately if you breach these Terms or engage in conduct that we determine is harmful to us, other users, or third parties.
14.4 Effect of Termination
Upon termination, your right to use the Services ceases immediately. We may delete your data after a reasonable retention period unless required by law to retain it.
15. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Virginia, and you consent to personal jurisdiction in such courts.
17. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and SLA, constitute the entire agreement between you and ThalosForge.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger or acquisition.
